Anthropic filed a registration statement on Monday for an initial public offering, and its seven co-founders each hold stakes worth more than $13 billion, according to Bloomberg.
The company plans to list its Class A common stock on the Nasdaq $NDAQ Global Select Market under the symbol "ANT." The size of the offering and its price range have not been set, the company said.
Each co-founder has an ownership position of roughly 1.4%, according to Bloomberg, which priced the holdings at the $965 billion valuation set in Anthropic's most recent funding round. At the $58.90 per-share price paid in that round, each stake carries a value of $13.7 billion to $14.4 billion, according to Fortune. As a group, the seven own roughly a tenth of the company, Fortune said.
The co-founders are CEO Dario Amodei and his sister Daniela Amodei, the president and board chair, along with Tom Brown, Jared Kaplan, Sam McCandlish, Christopher Olah and Jack Clark, according to Fortune. All seven appear among the selling stockholders, though the filing does not specify the amount of stock each intends to unload, according to Fortune. They are subject to a 365-day lockup, though each can move up to 29% of those shares after 180 days, and lead underwriters Goldman Sachs $GS and Morgan Stanley $MS can waive the restrictions early, Fortune said.
The stakes do not reflect the co-founders' voting power. A Class F share to be issued to the Founder LLC immediately before the offering closes will carry 50.1% of the votes that shareholders can cast, according to Bloomberg. A co-founder keeps membership in the LLC provided he or she retains a minimum of 2% of the Class A stock owned at the time of the IPO. Anthropic's Long-Term Benefit Trust can elect and remove four of the seven board members, according to Bloomberg.
All seven co-founders have committed to donating 80% of the equity they personally own in Anthropic to charitable causes, according to Bloomberg. The filing describes the pledges as voluntary, revocable and not legally binding, with timing, amounts and recipients undecided, according to Fortune.
Bloomberg calculated that a $2 trillion valuation in the IPO would lift each stake to more than $27 billion before dilution from new stock. Fortune put the range at $27 billion to $29 billion, said the prospectus never mentions the $2 trillion figure — it comes from Wall Street estimates — and noted that the price range and number of shares to be sold are blank in the filing, with Anthropic set to add those details ahead of pitching the offering to investors.
The co-founders' wealth drew attention last month, when six of them debuted on the Forbes 400 list of America's wealthiest people, each with an estimated net worth of $15.5 billion.
