A buyout and a layoff both mean leaving a job, but there’s one key difference: choice. In a buyout, the company offers employees money and other benefits to leave voluntarily. In a layoff, the company decides to cut jobs, and employees usually have little say in the decision. This difference is important as Microsoft has rolled out a Voluntary Exit Offer (VEO) for eligible employees in India, the US, Canada and the UK. Reports suggest around 60,000 employees could be eligible, although Microsoft has not confirmed the number. The move comes as the technology giant continues to invest heavily in artificial intelligence (AI) infrastructure while managing its workforce and operating costs.
Buyout vs layoff: What is the difference?
Although both arrangements can involve severance payments and other benefits, they differ in how employees leave and how the decision is made.
| Buyout | Layoff |
| The company offers employees an incentive to leave voluntarily. | The company decides to eliminate roles or reduce its workforce. |
| Eligible employees can choose whether to accept the offer. | Employees whose roles are eliminated generally do not get to choose whether the job continues. |
| The package may include severance pay, benefits and career support, depending on the terms. | Employees may receive severance pay, notice pay and other benefits, depending on company policy and applicable law. |
| The company may use buyouts to reduce headcount without directly selecting every employee for termination. | The employer identifies roles or employees affected by the workforce reduction. |
| The number of employees leaving depends partly on how many accept the offer. | The number of jobs affected is determined by the employer's restructuring plans. |
A buyout is therefore not the same as a conventional resignation. The employee leaves voluntarily, but usually under a formal agreement that provides financial or other support. A layoff, meanwhile, is an employer-initiated separation. It may happen because of restructuring, cost-cutting, changes in business priorities or the elimination of certain roles. The exact entitlements in either case depend on the offer terms, employment contract and local law.
What is Microsoft's voluntary exit offer?
Microsoft announced its Voluntary Exit Offer on Monday through a message to employees from Amy Coleman, the company's executive vice president and chief people officer. The company also published the announcement on its official blog.
Coleman said the programme would be available to eligible employees in participating teams in India, the US, Canada and the UK at level 70 and below.
“This is a time-limited, voluntary program that gives those who are eligible the opportunity to leave Microsoft with financial support and career planning resources,” she wrote.
The company has not disclosed how many employees are eligible or how many are expected to accept the offer. CNBC, citing a person familiar with the matter, reported that around 60,000 employees could qualify. That would represent roughly 27% of Microsoft's workforce of about 223,000.
However, 60,000 is the reported number of potentially eligible employees, not a confirmed figure for job cuts. The final number of departures will depend on participation in the programme.
Which Microsoft employees are eligible for the buyout?
The offer is not available across every Microsoft team. Eligibility depends on the employee's level and whether their organisation is participating.
Coleman said: “Some organisations are providing the Voluntary Exit Offer, and some are not. Participation varies based on each business’s priorities, customer commitments and workforce needs.”
According to The Verge, citing people familiar with the matter, participating organisations include Copilot, CoreAI, Windows and Devices, Xbox, finance and human resources. Marketing, commercial business, quantum and security teams were reported to be excluded.
Microsoft has not published a complete public list of eligible employees or participating teams. Employees were told they would receive an email with details of their individual offer.
The company has also said, according to an internal HR note seen by The Verge, that the offer is not based on age, length of service or performance.
When must Microsoft employees decide on the buyout?
According to CNBC, eligible employees must decide whether to accept the offer in December. Employees who accept are expected to leave Microsoft on December 31.
The programme is time-limited, meaning eligible staff will have to make their decision within the specified window. The exact financial terms may vary according to the individual offer, and Microsoft has not publicly disclosed a single payout amount applicable to all employees.
The programme follows Microsoft's Voluntary Retirement Program earlier this year, which was restricted to a smaller group of long-serving employees in the US.
Coleman described the new scheme as a learning process for the company.
“The Voluntary Exit Offer is new for us. We’ll learn from it,” she wrote, adding that “there is no one-size-fits-all approach for every team or every employee.”
She also said Microsoft would continue helping employees focus on important work, develop new skills and explore other opportunities within the company where appropriate.
Why is Microsoft offering a buyout now?
The voluntary exit programme comes as Microsoft expands its AI capabilities and invests heavily in data centres and computing infrastructure. Meeting demand for AI services requires substantial spending on servers, cloud capacity and related infrastructure.
Microsoft supplies cloud computing capacity to companies including OpenAI and Anthropic, alongside supporting its own AI products and services. The company is therefore trying to balance investments in future growth with the cost of maintaining a large workforce.
A voluntary exit programme can help a company reduce employee numbers while giving eligible staff a choice and offering financial support for their departure. However, Microsoft has not said that AI spending alone is the reason for the new programme.
The move follows earlier workforce reductions. Microsoft announced plans in July to cut about 4,800 jobs, with reports pointing to its Xbox and commercial sales teams among the areas affected.
The latest programme differs from a conventional round of layoffs because eligible employees can decide whether to accept the offer. It remains to be seen how many employees will take it up and how the resulting workforce changes will affect individual teams.
What does the buyout mean for Microsoft employees in India?
India is among the four countries included in the voluntary exit programme, but Microsoft has not disclosed the number of eligible employees in the country or the size of any expected departures.
The inclusion of India is significant because Microsoft has major engineering, product development and support operations in the country. However, the programme is limited to participating teams, so employees should not assume that everyone at level 70 or below is automatically eligible.
The offer also comes amid uncertainty for some Indian technology workers in the US. Reports said Microsoft's PERM labour certification filings were among those affected by a suspension announced by the US Department of Labour on October 8. Microsoft has also defended its use of the H-1B visa programme.
Coleman's announcement did not specifically address visa holders, and it remains unclear how the voluntary exit offer would apply to employees working in the US on employment visas.
Employees considering the offer should check the individual terms, including the payment amount, benefits, departure date and any conditions attached to accepting the package. For those who want to continue working at Microsoft, the company has indicated that internal opportunities may be available where business needs permit.
